Bylaws
I. NAME
The name of the organization shall be The Association of Andover Newton Theological School Alumni/ae. Hereinafter the organization shall be called the Association.
II. PURPOSE
The purpose of the Association shall be to promote fellowship among the alumni/ae of Andover Newton Theological School (including attendees of Andover Theological Seminary, Newton Theological Institution, and Andover Newton Theological School). The Association will seek to help the School in the areas of recruitment and continuing education, and with informing appropriate constituencies about the financial needs of the School.
III. MEMBERSHIP
The Association shall consist of active and honorary members.
A. Active Members: Active members shall be all graduates and all others who have taken at least ten credit hours before leaving Andover Theological Seminary, Newton Theological Institution or Andover Newton Theological School.
B. Honorary Members: Honorary Members shall include current as well as retired members of the faculty, staff, administration, and trustees of Andover Newton Theological School. Such persons shall have the privilege of voting in the business of the Association shall be ineligible to hold office.
IV. OFFICERS
The officers of the Association shall be a President, a Vice-President, a Clerk, and a Necrologist elected from the standing members of the Board. The offices of President and Vice-President shall be a term of one year and shall be eligible for re-election once. The offices of Clerk and Necrologist shall be held for one year and may be re-elected more than once.
V. BOARD OF DIRECTORS
There shall be a Board of Directors consisting of twelve members who shall serve terms of three years, elected so that the terms of four members will conclude each year. Board members may be elected for one additional term.
A. Student Representative: There shall be appointed to the Board of Directors a representative from the student body to serve for one year and elected or appointed in a manner acceptable to the student body.
B. Ex officio Members: The President, Academic Dean, and Dean of Students, Vice President for Development, and Director of Alumni/ae Relations of Andover Newton Theological School shall be ex-officio members of the Board of Directors with voice but without vote.
VI. NOMINATING PROCEDURE
A request for nominations to the Board of Directors shall be printed each year in Today's Ministry. All alumni/ae are eligible to nominate an alumna or alumnus. A slate which seeks to maintain a balanced board in regard to age, gender, race, year of graduation and geographical location will be prepared by the Nominating Committee, consisting of the Clerk as convener and the outgoing class of Directors, in consultation with the Executive Committee.
VII. ELECTION
A. The President, Vice President, Clerk, Necrologist and an ad hoc member of the Board, annually elected by the Board, shall comprise the Executive Committee. The Executive Committee shall act on behalf of the Board between meetings of the Board.
B. The Board of Directors shall call meetings of the Association, fill vacancies, arrange for all public events of the Association, and seek to act in the best interests of the Association and the School. It shall also recommend to the Board of Trustees of Andover Newton Theological School the names of persons to serve on the School's Board of Trustees. The Student Representative shall serve as a liaison between the Association and the Student Body. The Necrologist shall record the deaths of all alumni/ae and report a list of deceased members at the annual meeting of the Association. The Board may enlist additional members for specific tasks on an ad hoc basis.
VIII. MEETINGS
A. Annual Meeting: The annual meeting of the Association shall be held at such time as the Board of Directors determines. The quorum for the annual meeting shall be twenty-five members.
B. Special Meetings: Special meetings of the Association may be called at the discretion of the Board of Directors.
C. Meetings of the Board of Directors: The Board of Directors shall meet on call by the President of the Association or as determined in advance by the Board. Seven directors shall constitute a quorum.
IX. AMENDMENTS
These bylaws may be amended by a two-thirds vote of the members present at any annual meeting of the Association.
